Item 7.01. Regulation FD Disclosure.
BioCryst Pharmaceuticals, Inc. (the “Company” or “BioCryst”) reports that it has updated its commercialization agreement with Torii Pharmaceutical Co., Ltd. (“Torii”) for ORLADEYO® (berotralstat) in Japan. Under the terms of the updated agreement, BioCryst, through its Japanese subsidiary, BioCryst Japan K.K., will now be responsible for all commercial promotion activities to support ORLADEYO sales in Japan and Torii will be responsible for hereditary angioedema (HAE) disease awareness activities in Japan. In connection with the updates, the royalty structure has been amended so that BioCryst will receive a 20 percent royalty on annual Japanese sales below a prespecified threshold and an 80 percent royalty on annual Japanese sales above the prespecified threshold.
